Early SRD II Innovation and the Development of iActs® Vote Manager
Platform Innovation
David Baxter

The development of iActs® Vote Manager was driven by the operational and governance challenges highlighted through SRD II, alongside evolving client requirements relating to proxy voting, transparency and shareholder engagement.
While proxy voting platforms had existed for many years, SRD II exposed a number of inefficiencies surrounding shareholder engagement, voting transparency and communication across the intermediary chain.
One of the directive’s most important objectives was ensuring shareholders are able to exercise voting rights consistently and transparently.
This required improved connectivity between issuers, intermediaries, investment managers and investors.
The development of iActs® Vote Manager therefore focused not simply on voting mechanics themselves, but on improving workflow orchestration, governance and operational visibility across the end-to-end voting lifecycle.
The initiative formed part of T-SCAPE’s broader redevelopment strategy for iActs®, designed from the outset to evolve beyond traditional corporate actions processing into a scalable orchestration platform capable of supporting a broad range of financial market event types.
The development also reflected an early recognition that future operating models would require significantly greater front-office participation, governance transparency and investor engagement than many incumbent infrastructures were designed to support.
